Terms of sale and service
1. Who we are
LINATL lightsurface (the software) is published by Byron Advisory Limited, trading as LINATL, a company registered in England and Wales (company number 13184834), registered office 27 Southwood Avenue, London N6 5SA, United Kingdom, VAT number GB375521783 (we, us). You can contact us at support@linatl.com.
We provide the software and the services that come with it as principal, not as agent for any other company.
These terms govern your subscription to the software and the services that come with it: the cloud features, updates and support. Your right to install and use the software itself is granted by our end user licence agreement (the EULA). By buying a subscription or starting a trial, you agree to these terms and to the EULA. If you use the software on behalf of a business, you agree to them for that business, and you confirm that you are authorised to do so.
2. How you buy: our reseller, Paddle
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles order and billing enquiries and processes refunds.
Paddle sells the subscription to you, takes payment, charges and pays any sales tax or VAT, issues your invoices and receipts, manages renewals and processes refunds. We provide support for the software itself (section 9). Your purchase is also governed by Paddle's buyer terms. Your licence to use the software comes from us, under the EULA.
You can manage or cancel your subscription through the link in any Paddle receipt, or by writing to us.
3. The software
The software is a desktop application for macOS and Windows. It brings your documents into a folder structure on your own device, extracts and indexes their text so they can be searched, files them into collections, and lets you compose new documents from them. Your documents remain ordinary files on your own device throughout.
The published minimum specification, the supported file formats and the features of each plan are described on our website and in the software's help. We may change the software from time to time, including through updates, to improve it, fix faults or comply with law, provided the changes do not materially reduce what you have paid for.
4. Free trial
You can try the software free for 7 days or 100 documents, whichever comes first. No payment card is needed. Subject to availability, the trial gives you a couple of runs on cloud sorting (section 7). When the trial ends, the software stops working until you install a subscription licence. Your documents are not affected. One trial is available per device.
5. Plans, price and renewal
- Plans. A single plan covers one device; a household plan covers up to three devices, which may be any mix of Macs and Windows PCs. Each is available monthly or annually. The current prices are shown on our website and at checkout. Paddle shows the price and any tax before you pay.
- Renewal. A subscription renews automatically at the end of each monthly or annual period, at the price then current, until you cancel. We will give you notice of any price change before it applies to your next renewal, and you can cancel before it takes effect.
- Cancelling. You can cancel at any time. A monthly subscription runs to the end of the month already paid for; an annual subscription runs to the end of its year. Refunds are covered by our refund policy.
- Failed payment. If a renewal payment fails, the software stays open for a period while Paddle retries, but cloud sorting is paused from the renewal date. If payment is not received in that period, the subscription ends.
6. Your licence
While your subscription or trial is active, you may use the software on the number of devices your plan covers, on the terms of the EULA. The EULA also sets out when twelve continuous paid months earn you a permanent licence.
7. Cloud sorting and AI features
- What is included. A paid subscription includes cloud sorting: the software's built-in commands for filing and grouping documents, run on an AI model hosted by Anthropic. Each subscription includes up to US$4 of this compute each month, measured at Anthropic's published price at the time of use. What that buys depends on your documents and on Anthropic's prices, which Anthropic sets. Any figure we give for the number of documents it sorts is an estimate at current prices and not a promise. The monthly amount resets on each monthly anniversary of your purchase. Anything unused in a month is not carried forward and has no cash value. A household plan shares one monthly amount across its devices. A plan agreed with us for a business may set a different amount, and may extend it to the software's other AI features.
- In your first 14 days. Cloud sorting in a new paid subscription begins only if you expressly ask for it within the first 14 days. This affects any refund (see the refund policy).
- What is sent. When you run a cloud sort, the text of the documents in that run is sent through our relay server to Anthropic, which returns the result. No document text is sent when you use a local model or the software's non-AI features. The privacy notice explains how this data is handled.
- Your own API key. You can enter your own key for Anthropic or another AI provider. Calls made with your own key go directly from your device to that provider, under your own agreement with that provider. We are not a party to that agreement. We do not charge for those calls or count them against your included amount, and the provider's charges are yours.
- Local models. Where your hardware allows, the software can run AI models locally on your device, at no charge from us.
- AI output. AI output can be wrong. Filing suggestions and generated text should be checked before you rely on them. You are responsible for the decisions you make with them.
- Acceptable use. You must not use the cloud features for anything unlawful, or in breach of Anthropic's Usage Policy. We may suspend cloud features for an account that does.
8. Your documents
Your documents belong to you. We acquire no rights in them. They are stored on your own device (or storage you choose), not on our servers. The software moves the files you bring into it into its own folders on your device, and files you remove go to its trash. Backing up your documents is your responsibility (see section 8 of the EULA). You are also responsible for making sure you have the right to process the documents you bring into the software.
9. Updates and support
An active subscription includes updates and email support at support@linatl.com, from the email address you bought with. We aim to reply within two working days.
10. If something goes wrong
- If you are a consumer, you have legal rights in relation to software and services that are faulty or not as described. Nothing in these terms affects those rights. For more information, contact your local consumer advice service (in the UK, Citizens Advice).
- We are not responsible for loss or damage that is not foreseeable, for loss caused by events outside our reasonable control, or for loss caused by the failure of a service provided by a third party under your own agreement with it (such as an AI provider you use with your own key).
- If you are a consumer, the software is licensed for your domestic and private use. We are not liable to you for loss of profit, business, business interruption or business opportunity.
- If you use the software for business purposes, we are not liable for loss of profit, revenue, business or data, or for indirect or consequential loss, and our total liability in connection with these terms is limited to the greater of the amount you paid for your subscription in the twelve months before the claim arose and the price of an annual subscription to your plan.
- Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
11. Ending the licence
Your licence ends when your subscription or trial ends, unless you have earned a permanent licence under the EULA. A full refund or a chargeback ends the subscription and the licence from that day. We may end or suspend your subscription if you materially breach these terms or the EULA, after giving you notice and a reasonable chance to put the breach right where it can be put right. When the licence ends, the software stops working, but your documents remain ordinary files in the software's folders on your device, or on the storage you chose.
12. Changes to these terms
We may update these terms, and we will tell you before a change applies, by email or in the software. A change that reduces your rights applies from your next renewal, so you can cancel before it does. Any other change applies 30 days after we tell you. A change the law requires, or that we need to make for security, may apply sooner. The date at the top shows when these terms last changed.
13. General
- These terms, the EULA, the refund policy and the privacy notice are the whole agreement between you and us about the software.
- If a court finds part of these terms invalid, the rest continues to apply.
- If we delay in enforcing these terms, we can still enforce them later.
- No one other than you and us has any right to enforce these terms.
- These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living elsewhere in the United Kingdom or in another country, you keep the protection of the mandatory laws of the place where you live, and you may also bring proceedings in your local courts.
